Prices do not include sales, use, excise, or similar taxes. In order to be exempt from state sales tax, Ward’s Marine Electric, Inc. (WME) must have an original signed and current Florida Annual Resale Certificate for Sales Tax on file. Some items are available via special order and may be subject to a special handling fee.

Terms of Payment
Terms of payment are to be specified. With approved credit, standard terms of payment are 30 days net unless otherwise noted under the terms code on the sales invoice front page. A service charge of 1.5% per month will be included on all past due accounts. In the event of suit for collection, reasonable attorney's fees and collection costs, including any appellate costs, will be added to this invoice. All special order items, marine switchgear, and custom panel boards require a 50% deposit.

Credit Cards
WME accepts VISA, MasterCard, and American Express credit cards.

Unless otherwise specified, appropriate carrier F.O.B. Ft. Lauderdale, FL will send all shipments. All items not shipped are considered back ordered unless noted otherwise. Merchandise shipped is packaged carefully in compliance with carrier requirements. Title to all merchandise ordered, and risk of loss thereon, shall pass to the customer upon delivery of the merchandise to a carrier for shipment. The customer shall submit any claims directly to the carrier for shortages or damages suffered in transit.

Returned Goods Policy
A copy of the sales invoice must accompany all returns. All goods must be returned within 15 days of purchase, in new condition and in original boxes, to receive full credit and not incur a 20% restocking and handling fee. Warranty of products is the sole responsibility of the manufacturer. With respect to products manufactured by our suppliers, WME makes no express warranties whatsoever and disclaims any thereof. WME has taken appropriate measures to assure the quality of these products, and that they are backed by their own fully supportable warranty. WME will provide warranty information for these products upon request. Products manufactured by WME (other than our Marine Switchgear Systems line of switchboards and panelboards), are warranted to be free from defects in materials and workmanship under normal use and operation. The warranty period shall be one year from the date of shipment. The obligation of this warranty shall be limited to repairing or replacing any part of the completed product that WME agrees is defective. Products returned for warranty evaluation and repair must include a copy of the sales invoice and shipment will be at the customer's expense. For warranty information regarding our Marine Switchgear Systems line of products, please call our engineering department. For warranty information regarding work performed onboard vessels by the WME service departments, please refer to our terms and conditions of work orders. To the extent allowed by law, this warranty is exclusive and is made expressly in lieu of all other warranties, including the warranties of merchantability and fitness for a particular purpose. WME shall not be liable for any incidental or consequential damages resulting from a violation of this warranty.

Seller's liability on any claim for loss or damage arising out of this contract or from the performance or breach thereof or connected with the supplying of any goods hereunder, or their sale, resale, operation or use, whether based on contract, warranty, tort (including negligence), or other grounds, shall not exceed the price allowable to such goods or part thereof involved in the claim. Seller shall not, under any circumstance, be liable for any labor charges without the prior written consent of Seller.

Work Orders

If the person signing this Work Order is other than the Owner, such person, individually, warrants to Ward’s Marine that such person has the Owner’s authority to sign this Work order. If Ward’s Marine has any doubt as to such person’s authority, Ward’s Marine may, without liability to Owner, not start any work under this Work Order or may stop such work until the vessel’s Owner gives his written approval and confirmation of this Work Order.

Owner warrants to Ward’s Marine that the owner owns the title to the vessel described in this Work Order free and clear of all liens and encumbrances, except as otherwise disclosed herein, and that all of the information pertaining to the registration of the boat on the front page of this Work Order is true and correct in all respects.

Unless a time for completion of the work is specified on the first page of this Work Order, the work shall be done within a reasonable time commensurate with the amount and difficulty of the work.

Unless the contrary is specified on the front page of this Work Order, all work shall be completed substantially in conformance with the electrical standards described in the Standards and Technical Information Reports for Small Craft, published by the American Boat and Yacht Council, Inc.

Ward’s Marine warrants its work for a period of ninety (90) days from the date of the completion of such work, except as provided for in this paragraph. Any work completed under this Work Order that does not conform to the standards described in paragraph 4 or any other standards specified on the front page of the Work Order shall be corrected at no cost to the Owner if the Owner notifies Ward’s Marine in writing of the defective work within ninety (90) days of completion of the work under this Work Order. This warranty is in lieu of all expressed or implied warranties granted under Florida law. This warranty does not apply to defects caused by the negligence of the Owner, corrosion, or for defective work in areas which are hidden from view or not readily accessible to Ward’s Marine workmen. If the equipment is sold by Ward’s Marine pursuant to this Work Order, this warranty does not extend to the equipment being sold under the Work Order. Instead, the Owner shall look solely to the manufacturer’s warranty for any defect in the equipment being sold hereunder. This warranty does not include travel expenses, travel time labor charges or freight charges if required. Ward’s Marine shall not be liable for any incidental or consequential damages resulting from its work.

Payment and Interest
Unless Owner has an established account with 15 or 30-day terms, the work under this Work Order shall be due upon the invoice being rendered by Ward’s Marine to the Owner. If Owner fails to pay the bill for the cost of the work within a thirty (30) day period, the amount of such bill shall draw interest at the rate of eighteen percent (18%) per annum commencing thirty (30) days after the date of the bill to the date of payment.

To secure the payment of the cost of the work rendered under this Work Order and any interest and attorney fees that may be paid as provided herein, Owner grants to Ward’s Marine (i) maritime lien under the Federal Maritime Lien Act, and (ii) a mechanics lien under the laws of the state of Florida. In addition, Owner acknowledges that the terms of this Work Order constitute a security agreement under the Florida Commercial Code granting Ward’s Marine a lien and security interest in Owner’s boat to secure payment due hereunder, and Owner agrees that, as a condition of doing the work hereunder or continuing such work, Owner shall sign a financing statement as required by Florida law granting Ward’s Marine a security interest in Owner’s boat. The above three remedies to secure the payments due under this Work Order are mutually exclusive. The exercise of any one remedy by Ward’s Marine does not prevent a subsequent exercise of any one or more of the other remedies granted to Ward’s Marine under this paragraph.

Attorney Fees
If the cost of the work together with any interest thereon is not paid when due and Ward’s Marine obtains an attorney to collect same, then the boat Owner shall pay Ward’s Marine reasonable attorney fees including attorney fees at the trial level and on appeal together with all court cost incurred thereby.
